Terms of Service

1. Eligibility and Acceptance

You must be at least 13 years old to use Arden. If you're between 13 and 18, you may only use the Service under the supervision of, and with the consent of, a parent or guardian. By texting Arden, creating an account, or otherwise using the Service, you represent that you meet these requirements and agree to these Terms of Service (“Terms”). If you don't agree, don't use the Service. Continued use after we update these Terms means you accept the revised version.

2. Use of the Service

Arden lets you manage reminders, tasks, lists, notes, and calendar events by texting naturally over iMessage, SMS, or RCS. You agree not to:

  • Access or attempt to access accounts, data, or systems you're not authorized to access.
  • Interfere with, disrupt, or attempt to circumvent the security of the Service.
  • Use automated means to scrape, message, or otherwise interact with the Service outside of normal use.
  • Use the Service to send unlawful, abusive, or harassing content, or to spam third parties.

You're responsible for the messages sent from your phone number and for any content or communications you submit through the Service.

3. Your Content

You retain ownership of the messages you send Arden and the durable content — reminders, tasks, lists, notes, and calendar events — it stores on your behalf. You grant Arden Intelligence Inc. a limited, worldwide, non-exclusive, royalty-free license to store, process, and use that content solely for the purpose of operating and improving the Service for you. We don't use it for any purpose beyond that.

4. Third-Party Services

Arden integrates with third-party services you choose to connect, including Google Calendar, and relies on providers like Stripe for payments and Sendblue for message delivery. Your use of any connected third-party service is also governed by that provider's own terms. We are not responsible for the content, performance, availability, or outages of third-party services, and we only access what you've explicitly authorized.

5. Fees, Payments, and Refunds

Arden is a paid subscription, billed monthly through Stripe at the price shown to you when you subscribe. New users start on a free trial; once it ends, sending Arden a message requires an active subscription. Your subscription renews automatically each period at the then-current price unless you cancel first, and you're responsible for any taxes we're required to collect. We'll give you notice before any price change takes effect for your next billing period. Charges are final once billed, and we don't offer prorated or partial refunds for a month you've already been charged for — if you were double-charged or hit a billing bug on our end, tell us and we'll make it right at our discretion.

6. No Medical or Professional Advice

Arden helps you stay organized — reminders, tasks, lists, notes, and calendar events. Nothing it says is medical, psychiatric, legal, or financial advice, and it's not a stand-in for a doctor, therapist, lawyer, or emergency responder. The decisions you make and the actions you take based on what Arden tells you are yours to own, to the fullest extent the law allows us to say so. If you're in a medical or mental health emergency, contact emergency services or a crisis line directly — in the US, call or text 988 for the Suicide & Crisis Lifeline — rather than texting Arden about it.

7. Communications Consent

By texting Arden, you consent to receive messages from us at that number — replies, reminders, follow-ups, and account or billing updates — over SMS, iMessage, or RCS. Since messaging is how the Service works, you can't opt out of the core reply and reminder messages you've asked for without stopping use of the Service; you can opt out of purely promotional messages at any time by telling Arden or emailing us. Standard message and data rates from your carrier may apply.

8. Privacy and Data Use

Our Privacy Policy explains what information we collect and how we use, share, and protect it. By using the Service, you consent to those practices.

9. Termination and Data Retention

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. You may stop using Arden at any time, including by asking Arden to delete your account (see our Privacy Policy for how that works) or by canceling your subscription. After termination, we may retain certain data as needed to comply with the law, prevent fraud, resolve disputes, or enforce these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE — FOR EXAMPLE, A REMINDER COULD BE DELAYED OR A MESSAGE COULD FAIL TO SEND.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARDEN LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to indemnify and hold Arden Intelligence Inc. harmless from any claims, losses, or damages, including reasonable legal fees, arising from your violation of these Terms or your misuse of the Service.

13. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, unless applicable local law requires otherwise for consumers residing outside the US.

14. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the rest remain in full effect. These Terms, together with our Privacy Policy, are the entire agreement between you and Arden Intelligence Inc. regarding the Service and supersede any prior agreements on the same subject.

15. Changes to These Terms

We may update these Terms from time to time. We'll revise the “Last updated” date at the top of this page, and for material changes, we'll text you directly. Continued use of the Service after changes take effect means you accept the updated Terms.
